Revenue Sharing Model Cost Details
(Applies to Option 2)

We believe in equitable and transparent partnerships. Our revenue sharing model is structured so that we carry the commercial risk while maintaining a clear and predictable framework for both parties.

Zero Risk Structure

We assume the financial risk of the platform. If total revenue generated from end users during the contract year does not reach £12,000, no additional charges or balancing invoices will be issued. The £12,000 annual threshold represents the full annual platform fee of £1,000 per month over a 12 month period, and any shortfall below this amount is absorbed by us.

Annual Minimum Revenue Threshold

A minimum revenue threshold of £12,000 applies per contract year. This threshold is assessed across the entire 12 month contract period and is not calculated on a monthly basis.

All revenue generated from end users during the contract year, including monthly subscriptions and annual subscriptions paid upfront, is credited against this £12,000 annual threshold.

For clarity, if annual subscriptions are purchased at launch or at any point during the year, the full value of those subscriptions is applied toward the £12,000 threshold for that contract year. Revenue is not apportioned or limited to the month in which payment is received.

50/50 Revenue Share Above the Threshold

Once total end user revenue exceeds £12,000 within the same contract year, all additional revenue is shared on a 50/50 basis between us and the client. For every £1 earned above £12,000, 50% is allocated to us and 50% to the client.

This model ensures there is no downside risk below the agreed annual threshold, while both parties share equally in upside once the annual platform cost has been covered.
